2. Acceptance of these Terms

By accessing, installing, using, or interacting with any Estaita software, application, or service, you confirm that you have read, understood, and agree to be bound by these Terms.

This applies to:

• Property managers and estate agents

• Developers and landlords

• Residents and tenants

• Contractors and service providers

If you do not agree, you must not use the Estaita platform.

Residents and end users accept these Terms by downloading, accessing, or using any Estaita powered application provided for their property.

3. Description of the platform

Estaita is a property operating system providing:

• Software tools

• AI powered automation

• Managed services

• Communication and workflow tooling

• Third party connectivity between property managers, residents, and contractors

Estaita provides software and infrastructure only.

Estaita does not:

• Own or manage properties

• Employ contractors

• Supervise maintenance works

• Guarantee outcomes

• Provide emergency services

• Ensure legal or regulatory compliance of properties

4. Third party services and contractors

Any contractors, service providers, or third parties engaged through the platform are:

• Selected, appointed, and managed by the property manager or developer

• Independent third parties

• Not employees, agents, or representatives of Estaita

Estaita is not a party to any agreement between:

• Property managers and residents

• Property managers and contractors

• Developers and residents

• Developers and contractors

All liability for third party services rests solely with the parties to those agreements.

5. Accounts and access

You are responsible for:

• All activity under your account

• Maintaining security of login credentials

• Ensuring authorised use only

Estaita may suspend or terminate access:

• For breach of these Terms

• For non payment

• At its discretion with reasonable notice

• Immediately where required to protect the platform or other users

6. Fees, billing, and renewals

Estaita operates on a subscription basis. Failure to pay may result in suspension or termination.

7. No refunds

To the maximum extent permitted by law:

• All fees are non refundable

• No refunds are provided for unused time

• No refunds are provided for early termination

Statutory consumer rights are not excluded where they apply.

8. Data, AI, and automated decisions

Estaita processes:

• Personal data of residents

• Chat messages and transcripts

• Maintenance images and videos

• AI generated outputs and recommendations

Estaita uses automated systems and artificial intelligence that may:

• Generate recommendations

• Route requests

• Categorise issues

• Automate workflows

You acknowledge and accept that:

• AI outputs may be incorrect or incomplete

• AI does not replace human judgement

• You remain responsible for all decisions and actions taken

Estaita uses third party AI providers including OpenAI.

9. Safety and emergency disclaimer

Estaita is not responsible for:

• Property safety

• Building condition

• Fire safety

• Gas, electrical, or structural compliance

• Emergency response or handling

• Health or safety outcomes

• Resident welfare

Estaita does not provide emergency services.
In emergencies, users must contact local emergency services directly.

10. Legal and regulatory responsibility

Property managers, developers, and landlords are solely responsible for:

• Legal compliance

• Regulatory obligations

• Licensing

• Health and safety duties

• Tenant rights

• Data protection obligations relating to their properties

Estaita does not provide legal, regulatory, or compliance advice.

11. Intellectual property

All Estaita software, systems, AI models, and documentation are owned by Estaita Ltd.

Uploaded content remains owned by the uploader.

By uploading content, you grant Estaita a worldwide, royalty free licence to use it for platform operation and improvement.

All feedback, suggestions, and ideas provided to Estaita become the property of Estaita Ltd.

All AI generated outputs, models, and derivative works belong to Estaita Ltd.

12. Use of names and logos

Unless agreed otherwise, Estaita may use customer names and logos for:

• Marketing

• Case studies

• Sales materials

• Investor communications

13. Limitation of liability

To the maximum extent permitted by law:

• Estaita provides the platform “as is”

• Estaita makes no warranties of any kind

• Estaita excludes all liability for loss, damage, or harm

Estaita shall not be liable for:

• Indirect or consequential loss

• Loss of profits or revenue

• Loss of data

• Property damage

• Personal injury

• Contractor actions

• Service outcomes

• Regulatory breaches by users

Where liability cannot be excluded by law, it is limited to the minimum amount permitted.

14. Indemnity

You agree to indemnify and hold harmless Estaita Ltd from any claims arising from:

• Your use of the platform

• Property management activities

• Contractor engagement

• Legal or regulatory breaches

• Resident disputes

15. Termination and data retention

Upon termination:

• Access may be removed immediately

• Data may be retained for legal, regulatory, or operational purposes

• Data deletion is not guaranteed unless legally required

16. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction, subject to mandatory local consumer protections where applicable.

17. Changes to these Terms

Estaita may update these Terms at any time.

Continued use of the platform constitutes acceptance of the updated Terms.
